Job description
Responsibilities
Provide legal support to transactions in Hong Kong, Mainland and other jurisdictions in the Asia Pacific, including reviewing, negotiating, and drafting transaction documents.
Attend to signing and closing of transactions, often with the assistance of external counsel.
Handle other transaction-related work such as NDAs, engagement letters, corporate resolutions, and conducting KYC and AML checks with other departments.
Manage fund-related matters.
Host various meetings, including Investmentmittee meetings.
Draft, and review structured finance documentation, includingplexmercial contracts, permits, and licenses related to structured transactions.
Support on insolvency, distressed debt, restructurings, work-outs, waivers, consent letters, and litigation issues.
Provide general in-house legal advice to business units and maintain relationships with external law firms.
Requirements
Minimum 2-5 years of PQE, experience in negotiating deal documentation and othermercial agreements.
Familiarity with onshore and offshore deals, including transactional and regulatory aspects of private equity deals.
Corporate transaction experience, particularly in M&A and PE investment.
Qualified lawyer in Hong Kong, Mainland or other jurisdiction. In-house experience is beneficial but not necessary.
Excellent negotiation andmunication skills.
Fluency in both English and Chinese (Mandarin), both oral and written.
Working permit will be offered to non-local applicant.
