- Proactively identify and source PIPE investment opportunities in public companies, leveraging industry networks, sell-side relationships, and market research to target undervalued or high-growth entities seeking strategic capital.
- Conduct preliminary screenings to assess alignment with investment mandates, including evaluation of company fundamentals, industry trends, and capital needs.
2. Due Diligence and Financial Analysis
Lead comprehensive due diligence on target public companies, including analysis of financial statements, cash flow projections, competitive positioning, and management teams.Build and refine financial models to assess valuation and determine appropriate entry points, discount terms, and conversion mechanics.Evaluate regulatory and legal considerations, including compliance with securities laws, disclosure requirements, and shareholder approval thresholds.3. Deal Structuring and Negotiation
Collaborate with legal counsel, investment bankers, and company management to structure PIPE terms, including pricing, security type (common stock, convertible preferred, warrants), lock-up periods, and governance provisions (e.g., board observer rights).Negotiate definitive agreements (subscription agreements, registration rights agreements) to balance investor protections with the company’s operational flexibility.Present investment theses and deal terms to the investment committee for approval, including risk assessments and mitigation strategies.4. Market Intelligence and Reporting
Stay abreast of macroeconomic trends, public market volatility, and regulatory changes impacting PIPE markets (e.g., shifts in discount norms, investor appetite, or disclosure requirements).Prepare regular reports for investors and internal stakeholders, summarizing deal activity, portfolio performance, and market outlook for PIPE strategies.Requirements
Bachelor’s degree in Finance, Economics, Accounting, or a related field; MBA, CFA, or CAIA designation strongly preferred.At least 7 years of relevant experience in PIPE investments, investment banking, private equity, or hedge fund roles with a focus on public company investments.Deep understanding of PIPE mechanics, including valuation methodologies for public companies, securities regulations, and deal documentation.Proficiency in financial modeling and data analysis tools; ability to synthesize complex financial and qualitative data into actionable insights.Strong negotiation skills and experience managing stakeholder relationships (public company management, legal counsel, investors).Benefits
