Schedule : Monday to Friday, 8AM–5PM PST

40 hours / week | Independent Contractor

HMO Coverage for eligible locations

Our client — a forward-thinking organization at the intersection of legal excellence and strategic innovation — is seeking a Corporate Counsel to support their dynamic legal department.

This is a remote, full-time contract role reporting directly to the General Counsel, and it offers the opportunity to work on cutting-edge legal matters — from complex commercial transactions and M&A due diligence, to intellectual property management and strategic partnerships with Fortune 500 companies.

What You’ll Do

As Corporate Counsel, you’ll play a key role in managing and improving the company’s legal infrastructure. Responsibilities include :

• Reviewing, drafting, and negotiating a wide range of agreements (NDAs, PSAs, tech licenses, development & government contracts)
• Supporting M&A transactions, due diligence, and private equity-backed spinouts
• Implementing and managing contract lifecycle systems across departments
• Conducting legal research, drafting briefs, and managing document production in litigation
• Supporting employment law matters and corporate governance (board meetings, entity filings, investor docs)
• Filing and managing patents and maintenance fees
• Designing and leading internal compliance audits and company-wide trainings
• Driving long-term legal ops improvements and supporting strategic initiatives with high-profile partners
