Legal and Compliance Manager

Responsibilities

• Provide sound, practical professional advice, particularly in the areas of insurance, reinsurance, data security, privacy, contracts andpany law, to help manage legal and regulatory risks whilst facilitating the business of thepany
• Work closely with and provide guidance to senior management, business teams and other corporate functions to ensurepliance with applicable laws and regulations and guidelines of relevant regulators, including but not limited to the requirements of the Hong Kong Insurance Ordinance, the Hong Kongpanies Ordinance and guidelines of the Hong Kong Insurance Authority
• Be alert to potential implications under the laws and regulations of the PRC and other countries of transactions or other actions that thepany may undertake and, in conjunction with internal or external experts in the relevant area, assess the risks involved and propose workable solutions or alternatives
• Collaborate with business teams and other corporate functions in developing, implementing and administering effective internal policies and procedures, manuals and guidelines
• Draft, review and negotiate contractual documentation, including but not limited to reinsurance treaties, generalmercial agreements and other contracts with suppliers, service providers and business partners as required
• Review or, as required, draft key correspondences with regulators
• Provide support and solutions onpany secretarial matters, and in relation to board meetings and shareholders meetings
