The Role at a Glance :
This is a high-responsibility, standalone position supporting the CEO and the Board. You will handle all corporate secretarial activities, conduct legal research, and assist with internal legal matters , determining when external counsel is required. Your role ensures our compliance, governance, and internal legal operations function seamlessly within a rapidly evolving company.
Key Responsibilities :
- Conduct legal research on internal issues, regulatory updates, and industry practices, summarizing findings for executive review.
- Provide expert guidance on corporate governance standards and ensure compliance with legal and regulatory requirements.
- Assist in drafting, reviewing, and organizing legal documents, contracts, and internal policies.
- Manage and maintain all corporate records, including minutes of meetings, resolutions, statutory filings, and registers, ensuring accuracy and timeliness.
- Coordinate preparation for Board and senior management meetings, including drafting agendas, distributing materials, taking minutes, and tracking follow-up items and resolutions.
- Liaise directly with external legal counsel and regulatory authorities on behalf of the company.
- Facilitate internal legal compliance, including AML / KYC procedures, as necessary.
- Maintain confidentiality and high standards of organization for all legal and corporate documentation.
- Support ad-hoc legal projects, including regulatory filings, internal audits, and special initiatives under the guidance of company leadership.
Ideal Candidate Profile :
Minimum of 5 years' experience as a paralegal or legal administrative professional, with a focus on corporate secretarial work and legal research.Proven ability to operate independently, taking ownership of legal and governance responsibilities.Deep understanding of corporate governance frameworks, statutory filings, and legal compliance.Experience liaising with Boards, regulators, and external counsel.Familiarity with AML / KYC and financial industry regulations is highly advantageous.Exceptional organizational skills, with meticulous attention to detail.Fluent in English—both written and verbal. Chinese language skills (Cantonese / Mandarin) are a plus.Self-starter attitude with strong problem-solving skills and a solutions-oriented mindset.Qualifications & Skills :
Bachelor’s degree in Law, Business, or related field; paralegal certification preferred.Extensive experience with corporate secretarial duties, internal legal support, and working directly with executive leadership.Proficiency with legal research tools, document management systems, and Google Workspace.Solid knowledge of corporate governance laws and compliance procedures within Asia or relevant jurisdictions.
